Welcome to ParkSafe LLC ("Company," "we," "us," or "our"), These Terms of Service ("Terms") govern your access to and use of our website located at www.parksafetechnologies.com (the "Site"), our automated vehicle messaging web application hosted at https://parksecure-80710.bubbleapps.io/version-test (the "App"), and your purchase or use of our physical QR-coded vehicle window stickers (collectively, the "Services").

By purchasing our products, registering an account, or scanning a QR code deployed via our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Site, App, or products.

1. ELIGIBILITY AND ACCOUNT REGISTRATION

  • Minimum Age: You must be at least 18 years of age to register a vehicle or create an account on our platform.

  • Account Accuracy: To utilize the Service, you must provide a valid, active mobile phone number capable of receiving text messages, alongside accurate profile and asset registration details. You agree to maintain accurate and up-to-date information.

  • Account Security: You are entirely responsible for maintaining the security of your account dashboard and any actions taken under your account registry.

2. SCOPE OF UTILITY AND PRODUCT USE

  • The Sticker License: Upon purchase, we grant you a non-exclusive, non-transferable license to display the physical QR sticker on a vehicle owned or legally authorized by you.

  • The Routing Mechanism: Our platform serves strictly as an anonymous proxy utility to route text notifications from a scanner to a vehicle owner. We do not guarantee network uptime, cellular carrier delivery speeds, or that any submitted message will successfully reach your device due to third-party telecommunication limitations.

  • Predefined Messaging Only: To preserve absolute privacy, digital communication between the vehicle owner and the scanner is limited strictly to system-generated, predefined communication options selectable on our web interface. Users cannot draft or transmit custom, free-form text strings.

  • Anti-Spam & Prohibited Use: Users who scan stickers agree not to maliciously, repeatedly, or deceptively trigger notifications (including, but not limited to, falsely triggering emergency selections, vehicle defect alerts, or parking notices). Automated scanning, script execution, bot traffic, or any attempt to flood the ParkSafe SMS infrastructure is strictly prohibited. We reserve the absolute right to terminate user registries, permanently block specific scanning IP addresses, or temporarily deactivate any physical QR code registry to mitigate network abuse or harassment. Either party may end a web chat interaction at any time to cease communication.

3. E-COMMERCE AND BILLING TERMS

  • Stripe Processing: All physical goods are billed through our secure third-party payment infrastructure (Squarespace Payments). By submitting payment details, you authorize our processor to charge the designated payment method.

  • Shipping and Fulfillment: Physical QR sticker packages will be shipped to the address provided at checkout. Risk of loss and title for physical items pass to you upon our delivery to the shipping carrier.

  • Commercial & B2B Usage: Unless governed by a separate customized corporate Master Services Agreement (MSA), all residential complexes, property management entities, and logistics fleets utilizing these Services are bound uniformly by these standard consumer Terms of Service.

4. STRICT ABSOLUTE LIMITATION OF LIABILITY

PLEASE READ THIS SECTION CAREFULLY, AS IT LIMITS THE LEGAL LIABILITY OF THE COMPANY.

  • EMERGENCY SERVICES DISCLOSURE (NOT A 911 SUBSTITUTE): THE SERVICES ARE INTENDED SOLELY FOR VOLUNTARY, CONVENIENCE-BASED UTILITY NOTIFICATIONS. THE SERVICES ARE NOT AN EMERGENCY RESPONSE DISPATCH UTILITY, LIFE-SAVING DEVICE, OR LAW ENFORCEMENT INTERFACE. IF A USER WITNESSES A LIFE-THREATENING EMERGENCY, A CRIME IN PROGRESS, A VEHICLE BREAK-IN, A FIRE, OR A CHILD OR ANIMAL TRAPPED IN A VEHICLE IN DISTRESS, THE USER AGREES TO IMMEDIATELY CALL 911 TO REACH EMERGENCY SERVICES BEFORE OR INSTEAD OF UTILIZING THE PARKSAFE QR UTILITY. COMPANY ACCEPTS ZERO LIABILITY FOR ANY INJURY, DEATH, MEDICAL CRISIS, OR PROPERTY LOSS ARISING FROM A USER'S DELAY OR FAILURE TO CONTACT FIRST RESPONDERS.

  • No Parking/Towing Indemnification: Our platform is a communication utility tool and is not a replacement for legal parking compliance. ParkSafe LLC accepts zero liability and will not indemnify or reimburse you for any local parking citations, traffic fines, impoundment charges, booting fees, or vehicle towing costs under any circumstances, regardless of whether our system failed to route a warning text or a user failed to scan your QR sticker.

  • No Property Damage Liability: We are not responsible for any vandalism, theft, vehicular accidents, or physical property damage that occurs to your vehicle while displaying our physical QR sticker.

  • As-Is Basis: The Site, App, and stickers are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including warranties of merchantability or fitness for a particular purpose.

  • Cap on Damages: To the maximum extent permitted by applicable law, the total liability of ParkSafe LLC for any claims arising out of or relating to these Terms or our Services shall be strictly limited to the total dollar amount you paid to us for your physical product or active services during the twelve (12) months preceding the event giving rise to liability.

5. INTELLECTUAL PROPERTY RIGHTS

The software architecture, database logic, source code, UI/UX designs, trademarks, logos, and physical QR sticker layout configurations are the exclusive proprietary intellectual property of ParkSafe LLC. You may not reverse-engineer, scrape, copy, or redistribute any technical framework of our Bubble application or corporate branding without prior written authorization.

6. DISPUTE RESOLUTION AND MANDATORY ARBITRATION

  • Governing Law: These Terms and any legal actions arising from them shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law principles.

  • Mandatory Arbitration: You agree that any legal dispute, controversy, or claim arising out of or relating to these Terms or your use of the Services shall be resolved exclusively through binding, individual arbitration administered by the American Arbitration Association (AAA), rather than in a court of law. You explicitly waive your right to participate in a class-action lawsuit.

7. TERMINATION OF SERVICES

We reserve the right, without notice and at our sole discretion, to terminate your account license or block your access to the App if we determine you have violated these Terms, engaged in network infrastructure abuse, or used the masked routing utility to harass individuals.
